| 内容記述 | Activities of Companies in Japan are affected by many laws. The Constitution of Japan emphasizes the respect of fundamental human rights does control some rights and obligations of the companies. However, the Companies Law is the main law for them. It is the law for companies, stockholders and creditors and explains the relationship between the three parties. In particular, it regards stability of the trading as important. The Companies Law is a special law of the Civil Code. Therefore the Companies law overrides the Civil Code. But it lacks some important statutes, for instance, the good faith principle and the abuse of rights doctrine. In this situation, the Civil Code applies to the companies as the general law of private laws. | |||||
